1. Acceptance of terms
By accessing or using the TBS Technologies [P] Limited (“TBS”) website, products, or services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.
2. Services we provide
TBS develops and licenses software products including Power CA, Fitschool, Power College, Power Broiler, and Payroll, and undertakes custom software engagements. The features, scope, pricing, and support arrangements for each engagement are defined in a separate order form, subscription agreement, or statement of work.
3. Account and access
When you create an account or are issued credentials, you are responsible for keeping them confidential and for all activity that occurs under your account. Notify us immediately if you believe your credentials have been compromised.
4. Acceptable use
- Do not use the services for any unlawful purpose or in violation of applicable Indian law.
- Do not attempt to reverse engineer, decompile, or circumvent any technical limitations of our software.
- Do not upload or transmit content that is malicious, infringing, defamatory, or violates the rights of others.
- Do not interfere with or disrupt the integrity, performance, or security of the services.
5. Intellectual property
All software, source code, designs, trademarks, logos, and content forming part of the TBS services are the property of TBS or its licensors and are protected by Indian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable right to use the services as expressly permitted by your agreement with us.
6. Customer data
You retain ownership of data you upload, enter, or generate using our services. You grant TBS a limited licence to process such data solely to provide the services and to meet our legal obligations. We process personal data in accordance with our Privacy Policy.
7. Fees and payment
Fees, billing cycles, payment terms, and renewal arrangements for paid services are set out in your order form or subscription agreement. Unless stated otherwise, fees are exclusive of applicable taxes and are payable in Indian Rupees.
8. Suspension and termination
We may suspend or terminate access to the services if you breach these terms, fail to pay applicable fees, or use the services in a way that creates risk for us or other customers. You may terminate by following the procedure in your agreement with us.
9. Warranties and disclaimers
We provide the services with reasonable skill and care. To the maximum extent permitted by law, the services are otherwise provided “as is” and we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the extent permitted by law, TBS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or in connection with the services. Our aggregate liability shall not exceed the amounts paid by you to TBS in the twelve months preceding the claim.
11. Indemnity
You agree to indemnify and hold TBS harmless from claims, damages, and expenses arising from your misuse of the services, your breach of these terms, or your violation of any rights of a third party.
12. Governing law and jurisdiction
These terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts at Coimbatore, Tamil Nadu.
13. Changes to terms
We may update these terms from time to time. Material changes will be notified through our website or via email. Continued use of the services after such notification constitutes acceptance of the updated terms.
